You and Client, jointly and severally, will indemnify and keep indemnified SNBL, and its respective directors, officers, employees and agents, fully and effectively (to the fullest extent permitted by applicable laws) from and against any and all claims, actions, demands, proceedings, losses, liabilities, damages, costs and expenses (including legal fees, costs and expenses on a full indemnity basis) suffered or incurred by SNBL arising out of or relating directly or indirectly to: (i) Client's actions that are inconsistent with, or in breach of, these T&C; (ii) Client's violation of any applicable national or international laws, rules or regulations in connection with its use of the Web-site; and (iii) any third party claims arising out of, or in connection with, Client's use of, or inability to use, the Web-site.
Governing law
The access and use of this Web-site shall be governed by, and construed in all respects in accordance with, the laws of the Grand Duchy of Luxembourg. The courts of the Grand Duchy of Luxembourg shall have exclusive jurisdiction for any claim or dispute arising from the access or use of this Web-site.
SNBL failure to exercise or enforce any right or provision of these T&C shall not constitute a waiver of such right or provision.
If any provision of these T&C (or any portion thereof) shall be invalid, illegal or unenforceable, the validity, legality or enforceability of the remainder of these T&C shall not in any way be affected or impaired thereby.
